Definition of 'securities not in public hands'

'Not in public hands' is defined under the AIM rules as being the sum of shares held by:

  • The company itself as treasury shares
  • Any shares held under lock in arrangements with anyone
  • Any person who has the right to nominate a director to the Board
  • Trustees of any employee share scheme or pension fund

Related parties:

Means directors, immediate family (spouses and children under the age of 18), trustees acting for same, any subsidiary of the company, anyone who can appoint or remove directors and any substantial shareholder (anyone who holding over 10% of shares in issue).
